Dear Valued Customers:

Rainforest Distribution Corp. (“Rainforest”) is pleased to announce that it has entered into a definitive agreement to acquire substantially all of the assets of Perfect 10 Distribution, LLC (“P10”). This combination will provide customers with increased operational efficiencies and service levels; a broader portfolio of unique products to differentiate your business, and increased support of local and emerging brands.

Rainforest extends our most sincere welcome to each of P10’s existing customers and partners. Much like P10, Rainforest has built itself upon being a value-added distribution partner with a passion for brand-building. We focus our attention and resources on executing programs and support that our largest competitors cannot.

The dedicated teams at Rainforest and P10 will take responsibility for ensuring a seamless transition for your business and maintaining product availability and placement without disruption. Rainforest is also pleased to report that many key members of the P10 team will join the Rainforest team to ensure continuity of customer relationships.

Orders may continue to be placed with P10 through February 24, 2025. Subsequently, all orders will be placed and invoiced through Rainforest. As part of the transition process, Rainforest requires all P10 customers to be onboarded into Rainforest’s current operating and information systems. THANK YOU in advance for your time and effort in this regard.

Customer Onboarding Instructions

We kindly ask all accounts to submit their i) “Customer Application Form” and ii) “Resale Certificate” before February 1, 2025 to prevent delays in servicing your business.

As Rainforest will commence direct servicing of all existing customers of P10 on February 24, 2025, we request that your Rainforest onboarding forms be submitted promptly.

In the table below, please click the “Download” button in each row to save the form / document to your computer.

Rainforest requires that you complete both the i) Customer Application Form and ii) your state-specific Resale Certificate. Once you have completed these forms, please following the instructions below for submission to Rainforest.

If you are already purchasing directly from Rainforest, then no action is required. P10 products will become available via Rainforest’s online ordering system, through your Rainforest Sales Representative, and Rainforest Product & Price catalogs as the transition date approaches.

In addition, Rainforest will require you to be in good standing with P10 in order to receive deliveries after the cutover, so please keep your accounts paid within terms.

How will this change affect P10’s customers?

This combination will provide customers with increased service levels; a broader portfolio of unique products to differentiate your business, and increased support of local and emerging brands.

What should I do next?

As we transition, we’ll need you to onboard your account into Rainforest’s system. Please check the Customer Onboarding Portal (https://www.rainforestdistribution.com/p10-customer-onboarding) and fill out any required paperwork. After we’ve received your onboarding forms, the Rainforest Team will send you a welcome email directly containing all the information you need to order from Rainforest.

I have unpaid invoices with P10, what should I do?

Keep paying your invoices to P10 within the agreed terms. The Accounts Receivable team at P10 will provide account statements to help you track outstanding balances. To ensure smooth deliveries from Rainforest after the transition, it’s important to maintain good standing with P10 by keeping your accounts up-to-date within the specified terms.

Will my order deadlines and delivery days stay the same?

Yes. In the first several months following the transition, your order deadlines and delivery days will remain the same. In Summer of 2025, you should expect additional delivery frequencies if your order volumes necessitate.

How do I order from Rainforest?

You have several options for placing orders with Rainforest:

  1. Utilize Rainforest’s online/mobile ordering system (instructions are available for download in the onboarding portal).
  2. Rainforest can assign a Sales Representative to visit your business and assist you.
  3. Contact our customer service team via phone or email.
  4. Implement EDI for seamless electronic transactions.
Will there be changes to order minimums or delivery fees?

Rainforest’s minimum order amount is $500. Orders not meeting the minimum will be charged a $150 delivery fee.

Will I keep the same customer service and sales reps?

Many of P10’s customer-facing team, including members of the sales team will be joining the Rainforest team after the transition. While there might be adjustments to territories and customer assignments, we’ll let you know in advance of any reassignments of your sales reps.

Is Rainforest taking on all of P10 product catalog?

Rainforest plans to include the majority of P10’s SKUs in its distribution network. While a few items may be discontinued if they are not performing well in your business, we understand the importance of the unique selection that keeps customers ordering from P10.

Will Rainforest provide introductory deals for new items and monthly promotions?

Certainly! Rainforest offers monthly deals on a wide range of products. Additionally, most new item launch comes with an introductory deal to encourage our customer partners to support the introduction of new brands.

Does Rainforest have a Payment Portal?

Yes. If you’re interested in tracking your open invoices and making payments online, please email our accounting team at ar@rainforestdistribution.com, and they will set you up.  (Please note that there is no need to do this until you have begun ordering directly from Rainforest after the transition date).

When can I start ordering from Rainforest?

As the transition nears, we’ll provide you with a specific date upon which you can begin ordering directly from Rainforest. In the meantime, keep ordering directly from P10.

How do I get set up with the Rainforest online ordering platform?

After submitting your onboarding forms to Rainforest via the onboarding portal, the Rainforest Team will send you an invite for the online ordering system.

Will I be set up with the same payment terms as P10?

Provided your account is in good standing with P10, you should expect Rainforest to extend the same payment terms. Remember, Rainforest will require you to be in good standing with P10 in order to receive deliveries after the cutover, so please keep your accounts with P10 paid within terms.
